Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Clync Inc. (“Clync,” “we,” “us,” or “our”), a Delaware corporation with principal operations in Seattle, Washington. By accessing or using the Clync resident resource platform (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Clync provides a QR-code-accessible web application that allows property residents to access move-in and move-out task workflows, move-in tools and information, exclusive deals from local businesses, neighborhood recommendations, and optional in-app assistance (Renter Buddy) associated with their residential property. When enabled by your property, Clync Move-In guides you through identity verification, insurance verification, and resident profile setup. The Service is made available to residents through partnerships with property management companies. The Service also includes a Building Marketplace feature that allows verified residents of the same property to post, claim, and coordinate the exchange of items, including both free and priced listings, within their building community.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.
3.2 Account Creation
To access the Service, you must register using your name and a valid phone number. You will receive a one-time passcode (OTP) via SMS to verify your phone number. You agree to provide accurate and complete information during registration. You may also upload a profile photo and update your display name at any time from your profile. Profile photos are stored securely and associated with your account and property.
3.3 Account Security
You are responsible for maintaining the security of your account. Your session is persisted securely via Supabase Auth for verified properties. You may sign out of the Service at any time from your profile screen. You agree to notify us immediately at dane@clync.me if you suspect unauthorized access to your account.
3.4 Phone Number Restrictions
To protect the integrity of resident-exclusive deals, the following restrictions apply to phone number registrations:
- A phone number may only be actively registered at one property at a time. Registering at a new property will automatically deactivate your prior registration.
- After a resident moves out or their registration is deactivated, that phone number may not re-register at the same property for a period of 12 months.
- These restrictions are enforced based on your phone number and apply regardless of the name or profile used.
4. Move-In Flow
Access to Clync Move-In is subject to your property having the feature enabled. Access to the resident resource page is granted only after your move-in date has passed. Clync facilitates move-in steps on behalf of your property but does not make leasing decisions.
5. Document Submission
By submitting a government-issued ID, you confirm it is your own valid, unaltered government-issued identification. By submitting a renters insurance policy, you confirm it is a valid, active policy in your name.
Submitting false, forged, or altered identity or insurance documents is a violation of these Terms and may be reported to your property. Clync is not responsible for lease decisions made by your property based on documents you submit.
6. Resident Profile
You are responsible for the accuracy of information you submit in your resident profile, including vehicle and pet details. Vehicle and pet information is shared with your leasing team only when you choose to submit it using the Send button.
You may delete your vehicle or pet records at any time from within the app. Profile photos you upload must be images you have the right to use and must not violate applicable law or third-party rights.
6A. Move-In and Move-Out Task Submissions
6A.1 Nature of Move-In and Move-Out Features
The Service may include move-in and move-out task workflows that allow you to submit information and documents to your property's leasing team, such as government ID verification, renters insurance verification, utility account confirmation, vehicle and pet registration, move-out notices, and cleaning requests. Clync acts solely as a technology platform facilitating these submissions and is not a party to your lease or any decision made by your property management company.
6A.2 Your Representations
By submitting information or uploading documents through move-in or move-out tasks, you represent and warrant that:
- All information you provide is accurate and complete to the best of your knowledge.
- Any document you upload is your own valid document, or one you are authorized to submit.
- You consent to AI-assisted verification of uploaded documents where that feature is used.
- You consent to forwarding of your submissions, including documents that pass verification, to your property's leasing team.
6A.3 AI-Assisted Verification
Some move-in tasks use AI-assisted tools to review uploaded documents and flag issues before submission. AI verification is assistive only. Clync does not guarantee the accuracy or completeness of AI verification results. Your property management company makes final decisions regarding move-in eligibility, document acceptance, and lease requirements.
6A.4 Document Handling
Uploaded documents are processed securely and forwarded to your property's leasing team when applicable. Clync does not retain copies of uploaded move-in documents after processing and forwarding are complete, as described in our Privacy Policy. Retention of submissions after forwarding is governed by your property management company's own policies.
6A.5 Move-Out and Vendor Requests
If you request move-out cleaning or similar services through the Service, you authorize Clync to share relevant contact and scheduling information with approved vendors or your property's leasing team as needed to coordinate that request. Clync is not responsible for the quality, pricing, or fulfillment of third-party cleaning or vendor services.
6A.6 Disclaimer of Liability
Clync is not liable for any loss, delay, denial, or dispute arising from move-in or move-out submissions, AI verification results, or decisions made by your property management company or vendors. Your use of move-in and move-out features is at your own risk.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Submit false, forged, or altered government ID or insurance documents during move-in.
- Use the Service to impersonate another person or misrepresent your residential status.
- Attempt to claim deals or offers you are not entitled to as a resident of the associated property.
- Circumvent phone number registration restrictions or use multiple numbers to gain unauthorized access to resident deals.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to any portion of the Service or its related systems.
- Use automated means, bots, or scripts to interact with the Service.
- Use the Service for any commercial purpose not expressly permitted by Clync.
- Post items on the Building Marketplace that are stolen, unsafe, hazardous, illegal, or that you do not have the right to give away.
- Use the Building Marketplace for any commercial enterprise or resale operation beyond individual resident-to-resident exchanges.
- Harass, threaten, or abuse other residents in connection with Marketplace interactions.
- Post false, misleading, or deceptive listings on the Marketplace.
8. Resident Deals and Coupons
8.1 Nature of Deals
Deals and discounts available through the Service are offered by independent local businesses (“Merchants”). Clync acts as a platform facilitating access to these offers and is not a party to any transaction between you and a Merchant.
8.2 Claim Limitations
Each deal may be claimed once per resident. Deal claims are subject to a 30-minute redemption window from the time of claim. Claims that are not redeemed within the applicable time window will be voided automatically. Your deal claim history is stored and associated with your phone number. Clync reserves the right to modify deal availability and claim policies at any time.
8.3 Merchant Responsibility
Clync makes no representations or warranties regarding the quality, availability, or accuracy of any Merchant offer. Any dispute regarding a deal or transaction must be resolved directly with the Merchant.
8A. Building Marketplace
8A.1 Nature of the Marketplace
The Building Marketplace is a resident-to-resident feature that allows verified residents to post items for neighbors to claim. The Marketplace operates in two scopes: (1) My Building, where listings are visible only to verified residents of the same property, and (2) Clync Neighborhood, where listings are visible to verified residents across properties in the same region. When you post in the Clync Neighborhood scope, your listing is visible to residents of other Clync-partnered properties in your area. You may switch between scopes when creating a listing. Clync acts solely as a platform facilitating these exchanges and is not a party to any transaction or exchange between residents.
8A.2 Resident Responsibility
You are solely responsible for any item you post on the Marketplace. By posting an item, you confirm that the item is yours to give, is free of safety hazards, is not stolen or otherwise unlawfully obtained, and does not violate any applicable law. Clync makes no representations or warranties regarding the condition, safety, or legality of any item listed by residents.
Residents may optionally list items at a stated price. Priced listings are visible to all residents in the same scope (building or neighborhood). Clync is not a party to any transaction involving payment between residents and assumes no responsibility for payment disputes, failed transactions, or misrepresentation of item value.
8A.3 Contact Information Sharing
When you choose to share your contact information with another resident following a Marketplace claim, you do so voluntarily and at your own discretion. Clync is not responsible for any communications or interactions that occur between residents after contact information is exchanged.
8A.4 Disclaimer of Liability
Clync is not liable for any loss, damage, injury, or dispute arising from items exchanged through the Building Marketplace, including but not limited to property damage, personal injury, or disputes between residents. Your use of the Marketplace is entirely at your own risk.
8A.5 Content Removal
Clync reserves the right to remove any Marketplace listing at any time, without notice, if we determine in our sole discretion that the listing violates these Terms or is otherwise inappropriate.
8A.6 Prohibited Content
Prohibited content includes but is not limited to: nudity or sexually explicit material; content involving or exploiting minors in any way; hate symbols, extremist imagery, or content promoting discrimination based on race, religion, gender, sexual orientation, or national origin; graphic violence, gore, or imagery of self-harm or suicide; firearms, ammunition, or explosive devices; controlled substances, drug paraphernalia, or alcohol; stolen or unlawfully obtained items; counterfeit or fraudulent goods; hazardous materials or unsafe items; listing items at a price that misrepresents their value or condition with intent to deceive; content that harasses, threatens, or intimidates other residents; and any content that violates applicable local, state, or federal law. Violations may result in immediate account termination and notification to property management.
8A.7 Property, Property Management, and Platform Disclaimer
The Building Marketplace is a feature of the Clync platform. The residential property and its owner, operator, and property management company (collectively, “Property Parties”) have no role in operating, monitoring, or moderating the Marketplace. The Property Parties do not review, approve, or endorse any listing posted by residents and bear no responsibility or liability of any kind for content posted on the Marketplace, items exchanged between residents, or any interactions that occur between residents in connection with the Marketplace.
Clync acts solely as a technology platform facilitating resident-to-resident exchanges. Clync does not review listings prior to posting, guarantee the accuracy or safety of any listing, or assume liability for the actions of residents. Clync employs automated image scanning technology to detect and block content that violates Section 8A.6 (Prohibited Content) prior to listing publication. However, no automated system is perfect and Clync does not warrant that all prohibited content will be detected. The responsibility for complying with these Terms remains solely with the resident posting the listing.
Residents are solely responsible for ensuring their listings and any resulting transactions comply with all applicable local, state, and federal laws, including but not limited to laws governing the sale or transfer of goods, sales tax obligations, and any permits or licenses required for their transactions. Clync does not provide tax, legal, or financial advice in connection with Marketplace use.
Residents agree to indemnify, defend, and hold harmless Clync Inc. and the Property Parties from any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to their Marketplace listings, items exchanged, or interactions with other residents through the Marketplace.
Any claim or dispute arising from Marketplace use is solely the responsibility of the resident who posted the listing. Neither Clync Inc. nor the Property Parties assume any liability for resident-generated content or peer-to-peer exchanges facilitated through the Marketplace.
9. SMS and Email Consent
9.1 SMS
By registering, you agree to receive a one-time verification code via SMS. Additional SMS notifications about deals require explicit opt-in in the Resident Deals section or in your profile. Marketplace activity notifications require explicit opt-in in your profile or through in-app Marketplace prompts. You may opt out at any time by replying STOP to any SMS or by updating your preferences in the Resident Deals section or your profile. Verification messages related to account sign-in may still be sent as needed. Message and data rates may apply.
9.2 Email
Email notifications about deals and offers require explicit opt-in during registration or when you provide your email address. You may unsubscribe at any time via the unsubscribe link in any email or by contacting dane@clync.me.
10. Intellectual Property
The Service and its original content, features, and functionality are owned by Clync Inc. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Clync does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Clync does not warrant the accuracy of AI-assisted document verification or Renter Buddy responses.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Clync Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. Clync's total liability to you for any claim arising from or related to the Service shall not exceed fifty dollars ($50.00).
14. Indemnification
You agree to indemnify, defend, and hold harmless Clync Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
15. Termination
Clync reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may also terminate your account at any time by contacting us at dane@clync.me.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Seattle, Washington, and you consent to personal jurisdiction in such courts.
17. Changes to Terms
We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date above. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
